1. Introduction

These Terms of Service (“Terms”) set out the rules governing access to and use of Edysor, an AI-powered voice automation platform operated by Edysor Edutech Solutions Private Limited. By accessing, browsing, registering for, or using any Edysor website, dashboard, application, API, or related service, you agree to comply with these Terms and our Privacy Policy. If you do not accept these Terms, you must discontinue use of the Services immediately.

3. Eligibility and Authority

You must be at least 18 years of age to use the Services. If you access the platform on behalf of an organization, business, or other legal entity, you confirm that you possess the authority required to accept these Terms on behalf of that entity.

4. Description of Services

Edysor offers AI-enabled voice automation solutions, including AI voice agents, automated calling systems, speech processing technologies, voice cloning features where legally permitted, workflow automation, analytics, APIs, and integrations with third-party tools. Edysor itself does not function as a telecommunications carrier. Calls are routed through telephony providers chosen by customers. We may update, modify, suspend, or discontinue features from time to time and cannot guarantee uninterrupted service unless otherwise agreed in writing.

5. Account Registration and Security

Certain features require account creation. You agree to provide accurate information, keep credentials secure, take responsibility for all activity performed through your account, and promptly notify us of any unauthorized access or suspected security incident.

6. Subscriptions, Billing, and Payments

Pricing details are available on the Edysor website. Promotional credits, free trials, pilot programs, or demo access may be provided at our discretion and may be withdrawn or modified at any time. Paid subscriptions renew automatically unless cancelled before the renewal date. By subscribing, you authorize recurring billing using your chosen payment method. Unless required by applicable law, all payments, subscription fees, prepaid balances, and usage charges are final and non-refundable.

7. Artificial Intelligence Disclaimer

Edysor uses artificial intelligence technologies that generate automated responses and outputs. Such outputs may contain inaccuracies, omissions, or unintended results. AI-generated information should not be treated as legal, medical, financial, or professional advice. You are solely responsible for reviewing and validating outputs before relying upon them. Edysor does not guarantee the accuracy, reliability, or suitability of AI-generated content.

8. Voice Calls, Recording, and Telephony Compliance

Recording functionality may be enabled depending on your account configuration and integrations. You are solely responsible for informing participants about recordings, obtaining legally required consent, complying with applicable recording laws, maintaining records of consent, and providing evidence when necessary. You are also responsible for compliance with telecommunication regulations, including DND, DLT, TRAI, TCPA, FCC, and similar frameworks, as well as managing relationships with telephony providers.

9. Voice Cloning Requirements

Voice cloning features may only be used when valid authorization has been obtained from the individual whose voice is being replicated. You must retain written consent, maintain supporting records, and provide proof when requested. Any suspected misuse may result in suspension or termination of access to voice cloning capabilities.

10. Acceptable Use

You agree to use the Services lawfully and responsibly. Prohibited conduct includes impersonation without authorization, deceptive practices, fraudulent activities, spam distribution, harassment, unlawful data processing, security interference, or attempts to circumvent consent requirements.

11. Restricted Industries and Activities

The Services may not be used in connection with illegal drugs, weapons trafficking, unlawful gambling, adult services prohibited by law, human trafficking, financial fraud, identity theft, counterfeit goods, pyramid schemes, or any activity that violates applicable regulations. Violations may result in immediate account action without compensation.

12. User Content

You retain ownership of content submitted to the platform. However, you grant Edysor a limited, worldwide, royalty-free license to host, process, transmit, and display such content solely for operating, maintaining, and improving the Services. Customer content, call recordings, uploaded files, lead information, and related data will not be used to train third-party AI systems without explicit written authorization and any required contractual agreements.

13. Intellectual Property

All software, technology, AI systems, trademarks, branding elements, interfaces, documentation, and proprietary materials associated with Edysor remain the property of Edysor or its licensors. Except where expressly permitted, you may not reproduce, distribute, reverse engineer, modify, or exploit any portion of the Services. Feedback provided by users may be utilized by Edysor without compensation.

14. Third-Party Services

The platform may integrate with external products, applications, and service providers. Edysor is not responsible for the performance, availability, security, policies, or compliance obligations of third-party services. Your use of such services remains subject to their respective terms and conditions.

15. Service Availability

We strive to maintain reliable service availability using commercially reasonable efforts. Nevertheless, service interruptions, maintenance windows, technical issues, and outages may occur. Unless otherwise stated in a separate written SLA, no guarantee of uninterrupted operation is provided.

16. Data Export and Deletion

Following account termination, access to the Services will cease. Users may request an export of eligible data within thirty (30) days, subject to technical feasibility. After the export period expires, data may be deleted in accordance with applicable privacy commitments and legal obligations. Certain records may be retained where required for compliance, auditing, or billing purposes.

17. Disclaimer of Warranties

The Services are supplied on an 'as available' and 'as is' basis. To the fullest extent permitted by law, Edysor disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

18. Limitation of Liability

To the maximum extent allowed by law, Edysor shall not be responsible for indirect, incidental, special, consequential, or punitive damages. Liability arising from use of the Services shall not exceed the amount paid by the customer to Edysor during the three months immediately preceding the claim.

19. Indemnification

You agree to defend, indemnify, and hold harmless Edysor and its affiliates, officers, employees, and representatives from claims, losses, liabilities, costs, and expenses resulting from misuse of the Services, regulatory violations, insufficient consent for recordings or voice cloning, infringement claims, or breaches of these Terms.

20. Suspension and Termination

Edysor reserves the right to suspend, restrict, or terminate access where violations, misuse, legal concerns, or regulatory risks are identified. Upon termination, access ends immediately and fees already paid remain non-refundable. Provisions intended to survive termination shall continue to apply.

21. Enterprise Agreements

If a customer has entered into a Master Service Agreement, Data Processing Agreement, Service Level Agreement, Order Form, Statement of Work, or similar written contract with Edysor, the terms of that agreement will govern where any inconsistency exists.

22. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Any dispute arising from or related to the Services shall be subject to the exclusive jurisdiction of the courts located in Udaipur, Rajasthan.

23. Force Majeure

Edysor will not be responsible for delays or failures caused by circumstances beyond reasonable control, including natural disasters, governmental actions, network disruptions, labor disputes, or failures of third-party service providers.

24. Support Availability

Customer support is generally available Monday through Saturday between 10:00 AM and 7:00 PM IST, excluding public holidays and scheduled closures.

25. Miscellaneous

These Terms represent the complete agreement between the parties regarding the Services. If any provision is found unenforceable, the remaining provisions shall remain effective. No waiver is valid unless made in writing. Users may not assign rights or obligations without prior written consent. Section headings are provided for convenience only.
